Quote/Estimate | Terms & Conditions

Quotes are valid for 30 days from the date the quote is issued, after which rates and prices may be subject to change.

  1. Work to Be Done
    CUSTOMER desires RAINIER SHADE to design, fabricate, supply, and/or install the products, materials, and/or labor described in the quote.
  2. Payment for Work
    CUSTOMER agrees to pay RAINIER SHADE as follows:
    A fifty percent (50%) deposit is due upon execution of this Agreement. The remaining balance is due prior to the scheduled installation date and must be paid in full before installation will commence. If CUSTOMER elects to maintain a credit card on file, RAINIER SHADE is authorized to charge the remaining balance no later than two (2) business days prior to installation, unless otherwise agreed to in writing. RAINIER SHADE reserves the right to delay or reschedule installation if payment has not been received in full by the required payment date. All C.O.D. shipments require certified check or money order. Upon completion and approval of a credit application, CUSTOMER may be eligible for Net 30 payment terms on the remaining balance, subject to RAINIER SHADE’s written approval. In the event payment becomes delinquent, CUSTOMER agrees to pay finance charges. Overdue invoice balances will be subject to a late payment fee of 2% per month, assessed until paid in full, plus any associated collection costs, including reasonable attorney fees.
  3. Deposit
    CUSTOMER understands that RAINIER SHADE products are custom-made and manufactured to order. Deposits are non-refundable once materials have been ordered or fabrication has begun. Once a quote is approved, RAINIER SHADE cannot guarantee changes to sizes, materials, configurations, or specifications without a written change order.
  4. Acceptance
    This Agreement shall not become binding upon RAINIER SHADE until it is executed by authorized representatives of both CUSTOMER and RAINIER SHADE and the required deposit has been received. This Agreement is valid only if accepted within thirty (30) days of the quote date, unless otherwise agreed to in writing by RAINIER SHADE.
  5. Modification of Agreement
    This Agreement may be modified only by a written document signed by both CUSTOMER and RAINIER SHADE and specifically referencing this Agreement. No oral or other written agreements shall apply.
  6. Change in Scope
    If the scope of work changes due to conditions not known at the time of this Agreement, CUSTOMER is responsible for all additional costs. If additional structural support is required (including but not limited to wall studs, bracing, blocking, roof reinforcement, footings, or concrete work), CUSTOMER shall bear all associated costs. RAINIER SHADE will endeavor, when practical, to notify CUSTOMER of such changes prior to incurring additional costs. All scope changes must be approved in writing.
  7. Material Cost Escalation
    Prices are subject to surcharge if market costs for materials (including but not limited to aluminum, steel, fabric, any approved product or specialty finishes) increase by more than five percent (5%) between the quote date and the material purchase date.
  8. Tax
    Sales tax is not included unless specifically listed and will be added where applicable. Sales tax rates are subject to change.
  9. Electrical Service
    RAINIER SHADE is a registered Specialty Contractor (Registration No. RAINIS*770JK). This registration limits work to connection of RAINIER SHADE–supplied electrical components at the wall surface only. All costs associated with providing electrical service to that point are the sole responsibility of CUSTOMER unless expressly included in the quote.
  10. Building Permits and Licenses
    Unless expressly included in the quote, CUSTOMER is responsible for all permits, licenses, approvals, and associated engineering required by local authorities.
  11. Transportation
    Unless otherwise specified, shipment method and carrier selection shall be at RAINIER SHADE’s discretion without responsibility for timing or cost differences. All prices are quoted F.O.B. Tukwila, Washington. Freight is shipped collect unless otherwise noted. All C.O.D. shipments require certified check or money order.
  12. Attorney Fees and Governing Law
    If either party incurs legal fees to enforce this Agreement, the substantially prevailing party shall be entitled to recover reasonable attorney fees and costs. This Agreement shall be governed by the laws of the State of Washington.
  13. RAINIER SHADE, Disclosure Statement Notice to Customers.
    This contractor is registered with the state of Washington, registration no RAINIS*770JK has posted with the state a bond or deposit of $6,000.00 for the purpose of satisfying claims against the contractor for breach of contract including negligent or improper work in the conduct of the contractor’s business. The expiration date of this contractor’s registration is 04/12/2025. THIS BOND OR DEPOSIT MIGHT NOT BE SUFFICIENT TO COVER A CLAIM THAT MIGHT ARISE FROM THE WORK DONE UNDER YOUR CONTRACT. This bond or deposit is not for your exclusive use because it covers all work performed by this contractor. The bond or deposit is intended to pay valid claims up to $6,000 that you and other customers, suppliers, subcontractors, or taxing authorities may have. FOR GREATER PROTECTION YOU MAY WITHHOLD A PERCENTAGE OF YOUR CONTRACT. You may withhold a contractually defined percentage of your construction contract as retainage for a stated period of time to provide protection to you and help insure that your project will be completed as required by your contract. YOUR PROPERTY MAY BE LIENED. If a supplier of materials used in your construction project or an employee or subcontractor of your contractor or subcontractors is not paid, your property may be liened to payment and you could pay twice for the same work. FOR ADDITIONAL PROTECTION, YOU MAY REQUEST THE CONTRACTOR TO PROVIDE YOU WITH ORIGINAL “LIEN RELEASE” DOCUMENTS FROM EACH SUPPLIER OR SUBCONTRACTOR ON YOUR PROJECT. The contractor is required to provide you with further information about lien release documents if you request it. General information is also available from the state Department of Labor and Industries. My signature on this quote, confirms that I have received this disclosure statement. The contractor must retain a signed copy of this disclosure statement in his or her files for a minimum of three years and produce a signed or electronic signature copy of the disclosure statement to the department upon request. Invoice | Terms & Conditions

Thank you for your business. Please contact us with any questions regarding this invoice. All payments must be made by the payment due date listed on the invoice. Balances that are unpaid after the payment deadline are subject to a fee of 2% on the owed amount every month, charged monthly until the balance is paid.
